Chapter 13 - The Vote

The merger vote began at 9:04.

I walked into the boardroom knowing my father had once prepared legal papers to erase my control of my own life.

Suddenly every memory looked different.

The doctors after my panic attacks in college.

The therapist my father selected.

The medication he insisted I take after Emily "died."

The months when I could barely remember meetings.

I sat at the head of the table.

Calder's attorney, James Kessler, smiled.

"Daniel. We were concerned you might miss the vote."

"I nearly did."

Vanessa sat behind me as legal observer.

Aaron entered last.

His face told me nothing.

The merger required six votes.

We had seven directors.

For nine months, I had controlled four.

That morning, two had already switched.

Kessler called the roll.

Three votes for Calder.

Two against.

Aaron abstained.

Everything came down to me.

Kessler leaned back.

"Mr. Hayes?"

I looked at the folder in front of me.

The merger agreement.

The document I had built my year around.

"Before I vote, I need to disclose a material liability."

Kessler's smile disappeared.

Vanessa slid a drive across the table.

"The Hayes Foundation maintained an undisclosed containment network tied to company properties."

One director laughed nervously.

"What does that mean?"

I looked at him.

"It means people were imprisoned in rooms built inside assets on our balance sheet."

Chaos.

Kessler stood.

"Stop. This meeting is privileged."

"Good," I said. "Then everyone here can explain under oath what they knew."

Aaron finally smiled.

Kessler turned on him.

"You set this up."

Aaron said, "No. Dad did. We are just finally reading the paperwork."

Vanessa plugged in the wafer.

Names filled the boardroom screen.

Judges.

Doctors.

Attorneys.

Calder subsidiaries.

Then one name flashed red.

JAMES KESSLER.

The attorney stopped moving.

"That's fabricated."

"Probably," I said. "So you won't mind investigators checking."

He reached for his phone.

The conference-room doors opened.

Not federal agents.

Claire.

Emily.

And three attorneys representing former subjects.

My sister and my first wife walked into my company together.

For the first time in my life, I saw fear on the faces of men who had spent careers manufacturing it for other people.

I voted no.

The merger failed four to three.

Kessler left without shaking anyone's hand.

For thirty seconds, I thought we had won.

Then Aaron leaned toward me.

"We have a problem."

"Just one?"

He turned his laptop.

During the vote, someone had initiated a transfer from Hayes Foundation reserves.

One hundred eighty-two million dollars.

Vanessa's number.

The money had already moved.

I looked at her.

"You said the trust would be controlled by victims' counsel."

Vanessa stared at the screen.

"It is."

Aaron shook his head.

"No. The receiving trust changed administrators six minutes ago."

"To who?"

He enlarged the record.

Trust administrator: E. HAYES.

Emily.
